1. Introduction and Identity

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and EuroRaven, s.r.o. (operating as Xroad Studio), a company organized under the laws of the Czech Republic, IČO: 17874904, with its registered office at Korunní 2569/108, Vinohrady, 101 00 Praha ("Xroad Studio," "we," "us," or "our").

Xroad Studio is a professional creative platform providing access to industrial-grade AI generation engines. By accessing xroadstudio.com or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree with these terms, you must not access or use the services.

2. Authorized Reseller & Merchant of Record

Our order process is conducted by our online Authorized Reseller and Merchant of Record. The Merchant of Record is the Seller of Record for all financial transactions, responsible for payment security, global tax compliance, and billing support. By purchasing, you enter into a billing agreement with the MoR subject to their specific terms.

3. Eligibility & Non-Competition

Age: You must be at least 18 years of age.
Non-Competition: You represent that you are not a competitor of Xroad Studio and are not using the Services for competitive research, reverse-engineering, or building a rival AI service.
Export Compliance: You will comply with all US (OFAC), EU, and Czech export control laws and sanctions.

4. Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must notify us immediately at [email protected] if you become aware of any unauthorized access.

5. Service Description & Usage Model

Computational Cost: Unlike traditional software, every generation incurs an immediate and irreversible computational cost from our hardware and API providers.
Probabilistic Nature: AI is a probabilistic tool. We pay for the processing power to execute your request; we do not guarantee a specific artistic or technical outcome.
User Responsibility: Users are solely responsible for the final use of Outputs. You must review all content for accuracy and lawfulness before publication.

6. Credits & Computational Costs

No Cash Value: Credits have no cash value and are non-transferable.
Monthly Credits: Subscription credits are valid only within the current billing cycle and do not roll over.
Bonus Credits: Bonus credits expire immediately upon account cancellation or termination.
First Credit Rule: Once a single credit has been consumed to initiate a generation, the service is deemed fully performed for that billing period.

7. Payment, Cancellation & Refund Policy

7.1 Recurring Billing

Subscriptions renew automatically until canceled via your Dashboard.

7.2 Cancellation

You may cancel anytime. You retain access to your plan until the end of the current billing period. No pro-rated refunds are provided.

7.3 Refund Policy

All sales are final after the first credit consumption. Due to immediate computational costs, no refunds are issued for used credits.

48-Hour Exception: A full refund is available within 48 hours only if zero (0) credits have been used.
Technical Performance: Variations in generation speed or "artistic dissatisfaction" do not qualify for refunds.

7.4 EU Consumer Waiver

Per § 1837 l) of the Czech Civil Code, by initiating your first generation, you explicitly waive your 14-day right of withdrawal as performance has begun with your consent.

7.5 Technical Failures

We do not issue cash refunds for server errors. We will manually restate (return) lost credits to your account following a verified claim to [email protected] within 48 hours.

8. Content Rights & "No-Training" Promise

Ownership: You retain ownership of your Inputs and Outputs. Commercial rights are included for paid plans.
IP Warranty: Xroad Studio does not warrant that Outputs will be protected by copyright or free from third-party IP claims. You use Outputs at your own legal risk.
No Training: We contractually prohibit our Enterprise API partners from using your data to train foundational models.
Data Retention: Assets are stored for up to one year depending on your plan. We are not a backup service; you must download your content promptly.

9. Acceptable Use Policy & AI Safety

Xroad Studio is a professional creative tool. By using the Services, you agree to generate content responsibly and lawfully. We maintain a zero-tolerance policy for the following categories of prohibited use.

9.1 Absolutely Prohibited Content

Child Sexual Abuse Material (CSAM): Any content that sexually exploits or depicts minors. Violations are reported immediately to the National Center for Missing & Exploited Children (NCMEC) and relevant law enforcement.
Non-Consensual Intimate Imagery (NCII): Generating realistic sexual imagery of any real person without their documented, informed consent.
Terrorism & Violent Extremism: Content that promotes, glorifies, or facilitates acts of terrorism, mass violence, or extremist organizations.
Hate Speech: Content that dehumanizes individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin.

9.2 Identity & Misinformation Prohibitions

Deepfakes & Synthetic Impersonation: Generating realistic video, audio, or images of real, identifiable persons without their written consent — including public figures, politicians, and celebrities — in ways that could deceive, defame, or harm.
Election Interference: Creating deceptive content intended to suppress voter participation or misrepresent electoral candidates or processes.
Disinformation: Producing synthetic media specifically designed to spread false information about real events, institutions, or individuals.

9.3 Intellectual Property

Copyright Infringement: You must not deliberately prompt the system to reproduce copyrighted characters, logos, or artwork in a manner constituting infringement.
Trademark Abuse: Generating content that falsely implies endorsement by or affiliation with any brand or trademark holder.

9.4 Platform Integrity

Automated Abuse: Using bots, scrapers, or automated scripts to access the Services beyond the documented API.
API Reselling: "Wrapping" or re-exposing our generation infrastructure as a competing or derivative service without a written commercial license.
Circumvention: Attempting to bypass safety classifiers, content filters, or rate limits through prompt engineering, adversarial inputs, or technical exploits.

9.5 Enforcement

Violations may result in immediate account suspension or permanent termination without refund. We cooperate fully with law enforcement and regulatory bodies upon receipt of valid legal process. To report abuse, contact us at [email protected] with the subject line "Abuse Report."

10. EU AI Act Compliance

Xroad Studio implements safety measures in alignment with the EU AI Act:

Safety Classifiers: Automated moderation to block prohibited content.
Transparency: Per Article 50, users are notified that assets generated via the Services are artificially generated or manipulated.
Human Oversight: We maintain "human-in-the-loop" protocols for escalated safety incidents.

11. Limitation of Liability

To the maximum extent permitted by law, Xroad Studio is provided "AS IS." We are not liable for any damages resulting from the use of AI-generated content. Our aggregate liability is limited to the amount you paid us in the 12 months preceding the claim, or €100, whichever is greater.

12. Termination & Dormancy

By Us: We may terminate accounts immediately for Terms violations, non-payment, or chargeback attempts.

Dormancy: We reserve the right to delete assets from accounts that have been inactive (no subscription and no login) for more than 180 days, following an email notification.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Czech Republic.

13.1 EU Users

Disputes shall be resolved by the competent courts of the Czech Republic or via the EU ODR platform.

13.2 US Users

You agree to attempt Informal Resolution first via [email protected]. Unresolved disputes shall be settled by binding individual arbitration (AAA rules). You may opt out of this arbitration within 30 days of account creation by emailing us. If you do not opt out, you waive your right to a jury trial or class action.

14. U.S. Government Rights

Our Services are "commercial items" as defined in FAR 2.101. Use by the U.S. Government is subject to these Terms in accordance with FAR 12.211 and 12.212.

15. Indemnification

You agree to defend, indemnify, and hold harmless EuroRaven, s.r.o., its affiliates, directors, officers, and employees from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: your use of the Services, your Content, violation of these Terms, or infringement of any third-party rights.

16. DMCA & Copyright Takedown

We respect intellectual property rights. If you believe content available through the Services infringes your copyright, you may submit a takedown notice to our designated agent in accordance with the Digital Millennium Copyright Act (17 U.S.C. § 512):

Your notice must include: (i) identification of the copyrighted work; (ii) identification of the infringing material and its location; (iii) your contact information; (iv) a good-faith belief statement; (v) a statement of accuracy under penalty of perjury; and (vi) your physical or electronic signature. Repeated infringers will have their accounts terminated.

17. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms. If you do not agree, you must stop using the Services.

18. General Provisions

Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Xroad Studio regarding the Services.
Force Majeure: Xroad Studio shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to outages of third-party AI infrastructure providers, cloud hosting failures, internet disruptions, natural disasters, government actions, or other events of force majeure. In such events, we will restore the Services as promptly as reasonably practicable.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Xroad Studio may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, provided the acquiring entity assumes all obligations herein.

19. API Usage (Creator and Business Plans)

Creator and Business subscribers may generate personal API keys to post to their connected social accounts programmatically (for example, through their own agents, n8n, or Zapier). The following terms apply to all API usage:

Your responsibility: You are solely responsible for every post published through your API key, including content you generate via automated or agent-driven workflows. Xroad Studio does not review, approve, or moderate API output before it reaches a social platform.
Rights to content: You warrant that you own or have the necessary licences for all media and text submitted through the API. You are responsible for ensuring every post complies with the terms of service of the destination platform (Instagram, TikTok, X, LinkedIn, etc.).
Quota: API posts count toward the same monthly post quota as dashboard posts (Creator: 120 posts/month, Business: 500 posts/month).
Key security: API keys are shown once at creation. You are responsible for storing them securely. We log the IP address and timestamp of every request against each key for abuse prevention.
Revocation: We may revoke API keys without notice in cases of spam, CSAM, violation of destination-platform policies, quota evasion, or other misuse. You may revoke your own keys at any time from Settings.
Sub-processor: Social-media OAuth tokens are stored and managed by our posting partner Post For Me (PFM), not by Xroad Studio. We never see or retain your social-platform credentials.
No reselling: You may not resell the API as a third-party posting service. Personal use, use inside your own products, and use by your own agency clients are permitted; public resale of raw API access is not.
